Down 18-6 after 48 minutes, the Panthers mounted a memorable fightback to level the scores with 11 minutes to play.
But, a 72nd minute field goal to Sharks halfback Chad Townsend proved decisive as Penrith opposite Nathan Cleary hooked his attempt to level the contest soon after.
Sharks coach Shane Flanagan says the second half went against them.
He says in the second half the Panthers got some momentum.
Cronulla will now meet Melbourne next week for a spot in the big dance.
